Edita Group to divest its subsidiary Edita Prima to PostNord Strålfors

Edita Group Oyj divests its subsidiary Edita Prima Oy to PostNord Strålfors, a Nordic communications solution provider. The purchase agreement has been signed on 9June 2023 by Edita Group Oyj and PostNord Strålfors Oy. Edita Prima and PostNord Strålfors complement each other well, and clear synergy benefits are expected to emerge from the transaction. The closing of the acquisition is subject to the approval of the Finnish Competition and Consumer Authority. The parties have agreed not to disclose the purchase price.

When closed, the transaction will combine two prominent actors in the industry and strengthen service offering for customers. Both companies have considerable experience in both digital and physical customer communication services.

"Edita Prima has succeeded in developing its business as part of the Edita Group in an excellent way. The company has transformed from a traditional printing house into a modern provider for printed and digital customer communications services, and its operations are growing profitably. I believe that joining a larger Nordic group further strengthens the company's capabilities to operate in the market and serve its customers even more comprehensively," says Kristiina Kujala, Interim CEO, CFO of Edita Group.

“PostNord Strålfors is a full-service player in the customer communication market delivering distribution and software services to leading companies in the Nordics. With the acquisition, we can offer the Edita Prima personnel and its customers in Finland a significantly wider service offering, Nordic reach as well as the potential to realize synergies between our local operations”, says Ylva Ekborn, CEO of PostNord Strålfors Group.

Edita Prima's net sales for the 18-month financial period from 1 January 2021 to 30 June 2022 totalled EUR 67.8 million and the company currently has approximately 80 employees. The company operates in two locations in Helsinki: an office in Kalasatama and a production facility in Kuninkaantammi.

The acquisition marks yet another step forward in the transformation journey of Edita Group. After closing the transaction, the group will focus on developing the businesses of Edita Learning and Edita Legal Information. Both businesses implement a clear growth strategy and are well-known brands within their industries.

According to Jukka Ruuska, Chairman of the Board of Directors at Edita Group, the divestment of Edita Prima is a continuation of the earlier divestments and consistent business portfolio development of the group: "The management and personnel of Edita Prima have done great work, resulting in the growth and progress of the company. It is natural to combine the forces of these two actors operating in the Nordics. Edita Prima and PostNord Strålfors are more competitive together."

“I see PostNord Strålfors and Edita Prima being a great match. We have the similar entrepreneurial spirit and customer-oriented culture. With this merger we will be able to ensure a long-term sustainable operation that will enable us to deliver great services and customer experience towards our customers for many years to come”, says Mika Penttilä, Managing Director, PostNord Strålfors Finland.

The investigation by the Finnish Competition and Consumer Authority is estimated to be completed by the turn of the year 2023–2024 at the latest.
